Waystar, a provider of healthcare software solutions, is evaluating strategic options, including a potential sale, according to sources familiar with the matter. This comes just two years after the company went public in New York. Investment bank Evercore has been retained to advise Waystar on the process, which is still in its early stages.
The Utah and Kentucky-based company specializes in software that automates and manages administrative tasks for hospitals and doctors. This strategic focus aims to achieve higher valuations typically associated with technology firms, rather than healthcare services companies that rely more on human labor.
Market Challenges and Strategic Considerations
Waystar's market valuation has decreased to approximately $4.8 billion following a 24% drop in share prices this year, amid a broader downturn in the software sector. This potential sale could test whether investor interest in software companies is rebounding. Sources indicate that while the plans are under consideration, a sale is not guaranteed.
The company's stock initially gained momentum, rising from $20 to a peak of $45 in 2025. However, investor concerns about the impact of artificial intelligence on software companies have since put pressure on the stock, according to Morgan Stanley analysts.
Ownership and Historical Context
Waystar was formed through the 2017 merger of Zirmed and Navicure, two healthcare revenue management firms. It went public in 2024 with backing from major investors, including EQT, the Canada Pension Plan Investment Board (CPPIB), and Bain Capital. EQT remains the largest shareholder with a 13% stake, followed by CPPIB with 10%, and BlackRock Institutional Trust Company with 8%, according to data from LSEG.
While EQT and BlackRock declined to comment on the situation, CPPIB did not immediately respond to requests for comment. The ongoing exploration of strategic options highlights the shifting dynamics within the healthcare software industry.
