Waystar Mulls Sale Amidst Falling Valuation, Hires Evercore

Healthcare software firm Waystar is exploring a potential sale, with Evercore advising, as its valuation drops to $4.8 billion.
Waystar, a prominent player in healthcare software, is considering strategic alternatives, including a potential sale, according to sources familiar with the matter. The company, which went public in 2024, has hired investment bank Evercore to assist in the process. This move comes as Waystar's market valuation has decreased to approximately $4.8 billion, following a 24% decline in its share price this year.
Strategic Shift and Market Challenges
Based in Lehi, Utah, and Louisville, Kentucky, Waystar provides software solutions to hospitals and doctors for payment management and administrative automation. The firm has positioned itself as a technology company to capitalize on higher valuations typically associated with software businesses. Despite an initial share price surge from $20 to $45 in 2025, investor confidence has waned amidst concerns over the impact of artificial intelligence advancements on software companies, as noted by Morgan Stanley analysts in a July report.
The potential sale is at an early stage, and sources caution that plans could change or a sale may not occur. Waystar has declined to comment on the matter, and Evercore has not responded to requests for comment.
Ownership and Investment Background
Waystar was formed in 2017 through the merger of Zirmed and Navicure, two healthcare revenue management companies. Its major stakeholders include EQT, the Canada Pension Plan Investment Board (CPPIB), and Bain Capital. EQT remains the largest shareholder with a 13% stake, followed by CPPIB with 10%, and BlackRock Institutional Trust Company with 8%, based on data from LSEG.
The company's decision to explore a sale reflects broader trends in the software industry, where market volatility has affected valuations. An auction process could provide insights into whether investor interest in software firms is reviving.
Potential Market Implications
Waystar's exploration of strategic options comes in the wake of a broader selloff in the software sector. The outcome of this process could have significant implications for the company's future and the healthcare software market at large. If a sale proceeds, it could signal a shift in investor sentiment towards software companies amid ongoing technological disruptions.
