The move comes just two years after the company went public on the New York Stock Exchange. Waystar, known for its technology solutions that streamline administrative tasks in healthcare, has engaged investment bank Evercore to guide the exploratory process, insiders disclosed under anonymity.
Financial Challenges and Market Conditions
The company, headquartered in Lehi, Utah, and Louisville, Kentucky, has seen its market value decline to approximately $4.8 billion following a 24% drop in share price this year. This downturn aligns with a broader selloff impacting the software sector, raising questions about the sustainability of investor interest in tech-driven healthcare solutions.
Initially, Waystar aimed to capitalize on higher valuations associated with technology companies by emphasizing its software capabilities over traditional healthcare services. However, investor confidence waned as concerns grew over potential disruptions from advancements in artificial intelligence, according to a Morgan Stanley report from July.
Background and Ownership
Waystar originated from the 2017 merger of healthcare revenue management entities Zirmed and Navicure. Its transition to a public company in 2024 was backed by significant investors, including EQT, the Canada Pension Plan Investment Board (CPPIB), and Bain Capital. EQT remains Waystar’s largest shareholder with a 13% stake, while CPPIB and BlackRock Institutional Trust Company hold 10% and 8% stakes, respectively.
Despite the speculation surrounding a potential sale, Waystar has refrained from commenting on the matter, and Evercore has not responded to inquiries. Likewise, EQT and CPPIB have not provided statements, and BlackRock declined to comment on the situation.
