AI Summary

Healthcare software firm Waystar is considering a sale amid declining market value and AI concerns, sources reveal.

Healthcare software provider Waystar is reportedly exploring strategic options, including a potential sale, according to sources familiar with the matter. This move comes just two years after the company went public on the New York Stock Exchange. The firm has enlisted investment bank Evercore to guide the process, although discussions are still in preliminary stages and a sale is not guaranteed, the sources cautioned.

Market Value and Investor Concerns

Waystar, based in Lehi, Utah, and Louisville, Kentucky, has seen its market valuation drop to approximately $4.8 billion. This decline follows a 24% fall in share prices this year, reflecting a broader downturn in the software sector. The company initially attracted investors by positioning itself as a technology firm focused on automating healthcare administrative tasks. This strategy was intended to secure the higher valuations typically associated with tech companies.

However, the market's enthusiasm waned as apprehensions about the impact of artificial intelligence on software firms grew. According to a July report by Morgan Stanley analysts, these concerns contributed to the pressure on Waystar's stock, which had peaked at $45 per share in 2025, up from an initial $20.

Background and Ownership

Waystar was formed through the 2017 merger of healthcare revenue management entities Zirmed and Navicure. Its major stakeholders include EQT, the Canada Pension Plan Investment Board (CPPIB), and Bain Capital, who facilitated its public offering in 2024. Currently, EQT holds a 13% stake, CPPIB owns 10%, and BlackRock Institutional Trust Company has 8%, based on data from LSEG.

As of the time of reporting, neither Waystar, EQT, nor CPPIB provided comments on the potential sale. BlackRock also declined to comment, and Evercore did not immediately respond to inquiries.

Industry Implications

The potential sale of Waystar could serve as a barometer for investor interest in the software sector amidst current market conditions. If an auction process proceeds, it may indicate whether the appetite for healthcare technology companies is recovering despite recent challenges.

Waystar's exploration of strategic alternatives highlights the ongoing volatility and competitive pressures within the healthcare software industry. As companies navigate these dynamics, the role of emerging technologies like AI will remain a critical factor in shaping investor sentiment and corporate strategies.
