Waystar Considers Sale as Shares Drop Amid Software Sector Challenges

Healthcare software provider Waystar, known for its technology that streamlines administrative tasks for hospitals and doctors, is reportedly exploring strategic options, including a potential sale. This consideration comes two years after the company's public listing in New York, according to seven sources familiar with the situation.
Waystar's Strategic Evaluation
The Lehi, Utah, and Louisville, Kentucky-based firm has engaged investment bank Evercore to advise on the process, which is still in its early stages. Two sources, who spoke on condition of anonymity, indicated that while a sale is being considered, plans could change and a sale might not occur. Both Waystar and Evercore have declined to comment on the matter.
Waystar's market value has fallen to approximately $4.8 billion following a 24% decline in its share price this year. This downturn reflects a broader selloff affecting the software sector, and the potential auction process may test whether investor interest in software companies is recovering.
Positioning and Market Performance
Originally formed in 2017 through the merger of Zirmed and Navicure, Waystar has sought to distinguish itself as a technology company rather than a traditional healthcare services provider. This positioning aims to capitalize on the higher valuations typically associated with tech firms. Initially, investors responded positively, driving shares from $20 to a peak of $45 in 2025. However, concerns about potential disruptions from artificial intelligence have since pressured the stock, according to a Morgan Stanley report from July.
Waystar's largest shareholders include EQT, the Canada Pension Plan Investment Board (CPPIB), and BlackRock Institutional Trust Company, holding stakes of 13%, 10%, and 8%, respectively. EQT and BlackRock have declined to comment on the current exploration of options, while CPPIB has not yet responded to inquiries.
