Founded through the 2017 merger of Zirmed and Navicure, Waystar has positioned itself as a technology firm, offering software solutions to automate and manage administrative tasks in healthcare settings. This strategic positioning aimed to capitalize on the higher valuations typically associated with tech companies, as opposed to those that rely more on human resources for service delivery.
Despite an initial surge in investor interest, which saw Waystar's stock rise from $20 to a peak of $45 in 2025, the company's shares have faced pressure. Analysts from Morgan Stanley have noted investor concerns about potential disruptions from advancements in artificial intelligence.

The potential sale could return Waystar to private ownership just two years after its public listing on the New York Stock Exchange. The company's major shareholders include EQT, with a 13% stake, the Canada Pension Plan Investment Board holding 10%, and BlackRock Institutional Trust Company with 8%, according to data from LSEG.
