Waystar Considers Sale Amid Falling Market Value, Sources Reveal

Healthcare software firm Waystar is evaluating strategic options, including a potential sale, following a stock decline.
Waystar, a prominent provider of healthcare software solutions, is contemplating a sale just two years after its public market debut. Sources close to the matter indicate that the company has enlisted investment bank Evercore to explore strategic options, though discussions remain preliminary and outcomes uncertain.
Waystar's Strategic Shift
Based in Lehi, Utah, and Louisville, Kentucky, Waystar has distinguished itself by offering technology that automates and manages administrative tasks in healthcare settings. This positioning aims to align the company more with tech valuations than traditional healthcare services, which depend heavily on manual operations. Despite initial investor enthusiasm, reflected in a stock price surge from $20 to a peak of $45 in 2025, Waystar's shares have since experienced a significant downturn.
The company's market capitalization now stands at approximately $4.8 billion, following a 24% drop in share price this year amid broader challenges in the software sector. Analysts from Morgan Stanley have highlighted concerns that advancements in artificial intelligence could disrupt the software landscape, adding pressure to Waystar's stock performance.
Investment and Ownership
Waystar was formed through the 2017 merger of healthcare revenue management entities Zirmed and Navicure. Its transition to a public company in 2024 was backed by major investors including EQT, the Canada Pension Plan Investment Board (CPPIB), and Bain Capital. Currently, EQT holds the largest stake at 13%, followed by CPPIB with 10%, and BlackRock Institutional Trust Company with 8%, as per data from LSEG.
While EQT and BlackRock have declined to comment on the potential sale, CPPIB has yet to respond to inquiries. Evercore, tasked with advising on the potential sale, has also not provided a statement.
