True North initially invested ₹400 crore into the chain in 2015. Additionally, Cloudnine plans to issue 5-10% fresh primary shares to the incoming investor, contingent on the final valuation and capital needs.

Existing stakeholders, including Temasek and TPG NewQuest, who collectively own about 52% of Cloudnine, are expected to retain their shares. The promoter group holds around 10%, while the remainder is distributed among employee stock ownership plans (ESOPs) and other shareholders.

Strategic Expansions and Financial Performance

Founded in 2006 by Dr. R Kishore Kumar and co-founders Rohit MA, M Ramachandra, and Vidya Kumar, Cloudnine has established a strong presence in India’s maternity and pediatric healthcare sector. As of March 2025, the hospital chain operated 40 centers across major cities.

In a strategic move to bolster its market position, Cloudnine acquired Apollo Cradle and Apollo Fertility in May 2026, enhancing its network to over 55 centers. This acquisition, valued at ₹1,550 crore, expanded Cloudnine’s reach in cities such as Hyderabad, Bengaluru, Chennai, Delhi NCR, and Punjab, while integrating Apollo Fertility’s 20 IVF centers nationwide.

Cloudnine reported a revenue of ₹2,000 crore and an EBITDA of ₹300 crore for FY26. The mother and childcare market in India, currently estimated at ₹30,000 crore, is anticipated to grow by 15% annually over the coming years.

Permira's Strategic Interests and Market Entry

Permira, a London-based investment firm, manages €90 billion in committed capital and focuses on buyout and growth opportunities across various sectors, including healthcare. With a strong portfolio featuring investments like Australia's I-MED Radiology Network, Permira has been expanding its footprint in the healthcare sector globally.

The firm marked its entry into the Indian market with a $100 million investment in business services and real estate platform SILA in April 2026, underscoring its interest in one of its key growth markets.

Both Permira and TPG have declined to comment on the ongoing negotiations, while True North did not respond to inquiries.
