Global private equity firms Warburg Pincus, Bain Capital, and CVC Capital are reportedly in early discussions to acquire a 25% stake in Agappe Diagnostics, a leading in-vitro diagnostics (IVD) company based in Kochi, India. The proposed deal, involving a secondary sale by existing investors and a primary capital infusion, is expected to total ₹700-750 crore, according to sources familiar with the matter. This transaction would value Agappe Diagnostics at approximately ₹3,000-3,200 crore.
Investment Details and Stakeholders
Agappe Diagnostics, founded in 1994, is renowned for its diagnostic reagents and equipment, with a strong focus on clinical chemistry. The firm supplies products to over 70,000 laboratories across more than 90 countries. The current ownership structure includes Mauritius-based Sycamore Holdings, which holds about 20% through Konark Capital Partners, and the remaining shares are owned by the company's promoter, Thomas John, and his family. Konark Capital Partners acquired its stake in 2015 for approximately ₹50 crore.
Growth and Financial Performance
Agappe Diagnostics has shown significant growth, reporting a revenue of $61 million for the fiscal year 2025, with an EBITDA of $8.7 million and a profit after tax of $3.7 million. Projections for FY27 suggest revenues could reach ₹650 crore, with an EBITDA between ₹100-120 crore. The company operates a wholly owned subsidiary, Agappe Diagnostics Switzerland GmbH, to cater to its international markets, and serves as the exclusive Indian distributor for several global medical technology companies, including Toshiba Medical Systems Corporation, Mindray, and i-SENS.
Market Context and Competition
The interest from private equity firms in India's IVD sector is growing, driven by increased healthcare spending and a governmental push for domestic manufacturing. The domestic IVD market is highly competitive, with multinational giants like Roche, Beckman Coulter, and Siemens Healthcare dominating the space. Indian competitors include Transasia Bio-Medicals, Trivitron Healthcare, and Meril Life Sciences. Notably, Warburg Pincus holds an 11% stake in Meril Life Sciences, acquired for $210 million in 2022.
